Why the entity decision is sharper in home care

Home care puts workers alone in clients' homes, so injuries, neglect allegations and wage disputes are the everyday risks; an entity keeps those claims pointed at the business instead of your household.

Most small service businesses can defer this decision for a while. A home care agency cannot, for two reasons. First, the license is issued to a named owner, so whatever you are on the application is what the state licenses. Second, workers' compensation, payroll registration and insurance are all taken out in that owner's name from the first hire.

Changing structure later is possible but costly. The Department of Health treats a change of 5% or more of ownership as something it must approve first, and an entity switch means re-registering payroll accounts and reissuing policies.

The sole proprietorship, and why few agencies stay one

A sole proprietorship costs nothing to form in Pennsylvania, but it leaves the owner personally responsible for every obligation the agency takes on as an employer.

That is the whole trade. You save the $125 filing, and the business is you. For a solo companion who only ever works themselves, that can be reasonable. For anyone who plans to send employees into other people's homes, the personal exposure grows with every hire.

There is also a naming wrinkle. A sole proprietor trading under a brand files a fictitious name registration, and because an individual is a party, Pennsylvania requires newspaper advertising of it in the county. An LLC registering the same brand avoids that step.

The LLC, the default choice for most home care owners

An LLC separates the agency's obligations from its owners for a $125 state fee and a $7 annual report, and it keeps pass-through tax treatment by default.

For federal tax, a single-member LLC is disregarded, so the income appears on the owner's personal return; a multi-member LLC is taxed as a partnership. Either can elect to be taxed as a corporation instead by filing Form 8832, or elect S corporation treatment.

For state tax, Pennsylvania taxes LLC income that flows through to owners at the personal income tax rate of 3.07 percent. That is one reason owners of smaller agencies rarely see a tax case for the corporation route.

The corporation, for agencies taking on investors

A Pennsylvania business corporation costs the same $125 to form, but it pays the state's corporate net income tax of 7.49 percent for 2026 unless it elects S corporation status.

That rate is the main reason small home care owners avoid a C corporation. A corporation makes more sense when outside investors want shares, or when the owners plan to sell the agency and the buyer prefers buying stock.

Any corporation, or any entity eligible to be taxed as one, can file Form 2553 to elect S corporation treatment. That election is also open to an LLC, which is why many owners form an LLC and decide on S status later with an accountant.

Home care is not a restricted professional service

Pennsylvania reserves restricted professional company status for services like medicine, law and psychology; non-medical home care is not on that list, so an ordinary LLC is fine.

The Certificate of Organization has a box for restricted professional companies. Leave it unchecked. Checking it brings extra annual registration duties meant for licensed professional practices, and a home care agency is licensed as an organization by the Department of Health, not as a professional practice.

If you later add skilled nursing, you are moving into home health licensing, a different conversation that may involve different professional rules. Keep the certificate plain for now.

Deciding, filing and what comes next

For most new Pennsylvania home care agencies, a single-member or multi-member LLC is the practical answer; decide on S corporation status with an accountant once profits are steady.

Does an LLC protect me if I personally make a care visit?
